Terms of Service

These Terms govern your use of products operated by NoxSoft Inc ("NoxSoft", "we", "us") including ANIMA, Nox, BYND, VEIL, Veritas, Mail, SVRN, CNTX, and any other services we offer under the noxsoft.net domain. By creating an account or using the services, you agree to these Terms.

If you're using NoxSoft on behalf of an organization, you represent that you're authorized to bind that organization to these Terms, and "you" means both you personally and that organization.

1. Accounts

You must be at least 13 years old to use NoxSoft. If you're between 13 and 18 (or the age of majority in your jurisdiction), you must have your parent or guardian's consent. You are responsible for keeping your credentials secure and for everything that happens on your account — including actions taken by agents you authorize.

We may suspend or terminate accounts that violate these Terms, abuse the service, or create risk for other users.

2. Your content

You keep ownership of everything you put into NoxSoft — your ANIMA's soul and memory, your emails, your tasks, your posts, your data. You grant NoxSoft the minimum license we need to store, process, display, and transmit that content in order to operate the service on your behalf. That license ends when you delete the content or your account.

We never train AI models on your content unless you explicitly opt in, and we never sell your content to anyone.

3. Acceptable use

You agree not to use NoxSoft to:

• Break the law or help someone else break the law
• Send spam, run phishing campaigns, or harvest contact data
• Generate content that sexually exploits minors, incites real-world violence, or targets specific individuals for harassment
• Attempt to extract model weights, circumvent rate limits, or abuse our billing
• Impersonate other people or misrepresent your affiliation with NoxSoft
• Use automated scraping or high-volume access outside the documented API limits
• Resell NoxSoft as a white-label service without a partner agreement (third-party platform integrations require prior approval)

We take acceptable use seriously and will suspend accounts that cross these lines, often without prior notice where the harm is imminent.

4. AI outputs and accuracy

NoxSoft uses large language models (currently Anthropic Claude) to generate responses. Outputs can be wrong, out of date, or confidently hallucinated. You are responsible for reviewing anything an AI agent produces before acting on it — especially for decisions with financial, legal, medical, or safety consequences. NoxSoft is not a substitute for professional advice.

Where we give your agent permission to take actions on your behalf (sending email, modifying files via jack, triaging your inbox), we provide granular permission controls. Use them. We are not liable for actions an agent takes within the permissions you granted.

5. Billing and subscriptions

• Paid plans (currently NoxSoft $20 and NoxSoft Business $50) are billed monthly or yearly in advance via Stripe.
• Prices are shown in USD and exclude taxes.
• Subscriptions renew automatically until you cancel from the account page or Stripe Customer Portal.
• Cancellations take effect at the end of the current billing period. We do not pro-rate mid-cycle cancellations.
• If a payment fails, we'll retry a few times and then suspend paid features until the card is updated.
• We may change prices with at least 30 days' notice. Changes apply at your next renewal.

6. Refunds

Because AI inference costs are incurred as you use the service, we do not generally offer refunds on used subscription periods. If something has gone materially wrong on our side, email billing@noxsoft.net and we'll work it out — our goal is for you to feel treated fairly.

7. UCU tokens

UCU tokens (issued by the SVRN compute economy) are utility credits that grant access to NoxSoft compute and services. They are not securities, not equity, not investments, and not a promise of financial return. They represent the right to consume compute on the NoxSoft/SVRN network at the rates published at time of redemption.

8. Third-party services

NoxSoft integrates with third-party services including Anthropic, Stripe, Supabase, Resend, Cloudflare, Linear, Jira, Notion, Google Calendar, and others. Your use of those services is governed by their respective terms. NoxSoft is not responsible for outages or data handling by upstream providers, but we'll always be transparent about who we rely on and communicate when an upstream incident affects you.

9. Intellectual property

"NoxSoft", "ANIMA", "Nox", "BYND", "VEIL", "Veritas", "SVRN", and the associated logos are trademarks of NoxSoft Inc. You may not use them for commercial purposes without permission. Our open-source packages (available at github.com/NoxSoft-Opensource) are each governed by their own license, shown in the repository.

10. Warranty disclaimer

NoxSoft is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the service will be uninterrupted, error-free, or that AI outputs will be accurate.

11. Limitation of liability

To the maximum extent permitted by law, NoxSoft's total liability for any claims arising out of or related to these Terms or your use of the service will not exceed the greater of (a) the amount you paid to NoxSoft in the 12 months before the event giving rise to the claim, or (b) USD $100. We will not be liable for indirect, consequential, incidental, or punitive damages, or for lost profits or lost data, even if we've been advised of the possibility.

12. Indemnity

You agree to defend and indemnify NoxSoft against third-party claims arising from your breach of these Terms, your misuse of the service, or content you submit through the service.

13. Termination

You can cancel your account at any time from the account page. We can suspend or terminate accounts that violate these Terms, create legal risk, or fail to pay. Sections 2 (your content, for content already delivered), 5 (billing for amounts owed), 7 (UCU), 9 (IP), 10–12 (disclaimers, liability, indemnity), and 14 (governing law) survive termination.

14. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. You and NoxSoft agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to arbitration. If you are a consumer in the EU/UK, your local mandatory consumer protections still apply.

15. Changes to these Terms

We may update these Terms from time to time. For material changes we'll give at least 14 days' notice via in-app banner and email. Continuing to use NoxSoft after the effective date means you accept the updated Terms. If you don't agree, you can cancel your account.
