Engine Terms of Use
The short version
- Engine is free. You run it on your own computer or server, and you own what you put in it.
- Your AI provider is your choice and your contract. Check what agents do before you rely on it.
- Engine is provided as is. Keep backups.
1. Agreement
These terms are between you and Noxsoft Inc., a Delaware public benefit corporation ("noxsoft", "we", "us"), and cover the Engine by noxsoft software ("Engine"): the desktop app, Engine run on your own server, and its updates. By downloading, installing or using Engine you agree to them. If you use Engine for a company or other organization, you confirm you may bind it, and "you" includes it.
Your noxsoft account and the noxsoft services Engine connects to (such as noxsoft Mail) are also covered by the noxsoft Terms. If they conflict about Engine, these terms apply. You must be at least 18 to use Engine.
2. Your license
We give you a free, personal, non-exclusive, non-transferable, revocable license to install and use Engine for yourself and your organization, on as many computers and servers as you like, and to let the people you invite use your workspace. You may not sell, rent or sublicense Engine, offer it to others as a hosted service, remove notices from it, or reverse engineer it except where the law allows that despite this limit. Open-source components inside Engine stay under their own licenses, which control where they differ from these terms.
3. Free, and what free means
Engine costs nothing to download or use. We may offer paid services later, such as hosted Engine; they would come with their own terms, and we'll never start charging you for something you already use without your agreement. Your AI provider and any other service you connect bill you separately.
You can choose to send a voluntary one-time payment to thank us. It's a gift to a company, not a donation to a charity, and isn't tax-deductible. It doesn't buy features, support, priority or any other right, and Engine works the same either way. A third-party payment provider processes it under its own terms.
4. Your workspace and your data
Engine keeps your workspace on the computer or server that runs it. You own your content, and we don't get a license to it, because we don't receive it. You're responsible for that machine, for backups, for who you invite and what access you give them, and for having the right to put other people's data into your workspace. Software can fail and data can be lost, so back up anything you can't afford to lose. The Engine Privacy Policy explains the few things that reach noxsoft.
5. Your noxsoft account
Creating a workspace in the desktop app requires a noxsoft account, which is free. Keep your sign-in secure. After setup, your workspace keeps working without noxsoft, except mail to people outside your company, which goes through noxsoft Mail and follows the noxsoft Terms, including their limits on volume and spam.
6. AI providers and agents
- You connect the AI provider of your choice with your own key, or a local model. Your use of that provider is between you and it, under its terms, at its prices.
- Agents produce output with AI models, which can be wrong, incomplete or out of date. Review what agents write and do before you rely on it, especially for legal, financial, medical, employment or safety decisions. Engine isn't a substitute for professional advice, and it isn't an electronic health record.
- By default, anything that leaves your company (sending mail, publishing, spending, deploying) waits for a person's approval. If you set rules that let agents act without asking, or approve an action, you are responsible for the result. Engine never moves money itself; it prepares payments and a person sends them.
7. Acceptable use
Don't use Engine, or let agents use it, to:
- break the law or infringe anyone's rights;
- send spam or unsolicited bulk messages, phish, or harvest contact details;
- harass people, or create content that sexually exploits minors;
- attack, probe or overload systems you don't have permission to test;
- abuse noxsoft services Engine connects to, such as the mail relay or update servers.
We may block an install or account from noxsoft services when it's used this way. Software already on your computer keeps running, but services that go through noxsoft may stop.
8. Updates and changes
The desktop app checks for updates and installs them after you agree to restart. We may change, add or remove features, and we may stop developing Engine. If we stop, the copy you have keeps running on your computer, though features that depend on noxsoft services may stop working.
9. Third-party services
Engine can connect to services we don't run, such as AI providers, Cloudflare tunnels, video calls, news feeds and coding tools. They're governed by their own terms, and we aren't responsible for them.
10. Feedback
If you send us ideas or feedback, we may use them without owing you anything.
11. Trademarks
"noxsoft", "Engine by noxsoft" and their logos belong to Noxsoft Inc. These terms don't give you rights to use them, except to say truthfully that you use Engine.
12. No warranty
Engine is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We don't promise that Engine will be error-free or uninterrupted, that it won't lose data, or that AI output will be accurate.
13. Limitation of liability
To the fullest extent the law allows, noxsoft won't be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from Engine or these terms. Our total liability for all claims about Engine is limited to the greater of the amount you paid noxsoft in the twelve months before the claim, including voluntary payments, and fifty US dollars.
Some places don't allow these limits, so they may not all apply to you.
14. Indemnity
If you use Engine for an organization, you'll defend and indemnify noxsoft against third-party claims arising from your content, your workspace, the actions you or your agents take, or your breach of these terms.
15. Ending
You can stop using Engine at any time by uninstalling it and deleting its data folder. We may end your license if you seriously breach these terms. Sections 3 (voluntary payments), 4, and 9 through 16 survive.
16. Governing law
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. Disputes go to the state or federal courts in Delaware, and both sides agree to their jurisdiction. If you're a consumer, you keep any protections the law where you live gives you.
17. Changes to these terms
We may update these terms. If a change matters, we'll update the date above and say so on this site, and in Engine where we can, before it takes effect. Using Engine after that means you accept the new terms.
